OpenAI has announced a sweeping corporate restructuring alongside a newly defined partnership agreement with Microsoft, marking what both companies describe as the “next chapter” in their collaboration. The overhaul strengthens OpenAI’s nonprofit roots while clarifying its long-term governance, funding model, and relationship with one of its largest backers.

A New Structure Anchored in Mission

At the core of the reorganization is the creation of the OpenAI Foundation, a nonprofit entity that now holds an estimated $130 billion equity stake in OpenAI’s for-profit arm, officially renamed OpenAI Group PBC (Public Benefit Corporation). The structure is designed to channel commercial success directly into public good initiatives — from global health to AI safety and resilience.

OpenAI says the move “maintains the strongest representation of mission-focused governance in the industry,” ensuring that as the business grows, its financial gains support its founding mission: ensuring that artificial intelligence benefits all of humanity.

The Foundation’s stake will help fund an initial $25 billion commitment toward global philanthropic efforts, underscoring OpenAI’s intention to merge commercial innovation with social responsibility.

The restructuring was finalized after nearly a year of talks with the Attorneys General of California and Delaware, with OpenAI noting it made “several changes” following their input to strengthen oversight and accountability.

Microsoft Partnership Rebalanced

The reorganization coincides with a revised partnership agreement between OpenAI and Microsoft. The tech giant’s investment is now valued at $135 billion, giving Microsoft a 27% ownership stake in OpenAI Group PBC — a slight reduction from its previous 32.5% as new funding rounds adjusted the equity balance.

Under the updated deal, Microsoft remains the exclusive Azure provider for OpenAI’s cutting-edge AI models — but only until artificial general intelligence (AGI) is formally achieved. After that milestone, the arrangement will be reevaluated.

A key addition to the agreement is the formation of an independent expert panel that must verify any declaration of AGI. This external check adds a new layer of transparency and safety to the path toward advanced AI systems.

Microsoft’s intellectual property rights have been extended through 2032, now covering AI models developed after AGI is reached, provided that certain safety and ethical standards are met.

More Flexibility for Both Sides

The restructured deal gives both OpenAI and Microsoft greater independence. Microsoft can now pursue AGI research on its own or with new partners, while OpenAI gains flexibility in its infrastructure and product strategies.

Although OpenAI has committed to purchasing $250 billion in Azure cloud services, Microsoft no longer holds a “right of first refusal” for future compute deals. This means OpenAI can negotiate with other providers, expanding its operational freedom.

Additionally, OpenAI can now release open-weight models, serve U.S. government national security clients across any cloud platform, and co-develop non-API products with third parties. However, any API-based products developed jointly with others will remain hosted on Azure.

Microsoft’s IP rights specifically exclude any future consumer hardware developed by OpenAI, a signal that OpenAI may be planning to explore new device categories independently.

The companies’ existing revenue-sharing arrangement will remain intact until AGI is verified by the new expert panel, with payments spread over a longer term.

A Foundation for the Future

Both OpenAI and Microsoft framed the changes as an evolution, not a departure. The new structure, they said, ensures a balance between innovation, commercial growth, and ethical oversight.

“OpenAI’s reorganization gives us the ability to push the frontier of AI while ensuring progress serves everyone,” the company said in a statement.
